5 cláusulas contratuais que merecem sua atenção

Uma das facilidades que a internet nos trouxe é a simplificação na elaboração de documentos, tendo em vista que hoje é possível encontrar bancos de dados incontáveis nos quais encontramos modelos prontos. Com contratos não é diferente. Entretanto, modelos de contratos genéricos, além de oferecerem riscos para sua empresa, não conseguem captar todas as variáveis que seu negócio possui.

Independentemente da natureza do negócio jurídico, alguns cuidados são indispensáveis na hora de elaborar e assinar um contrato. Pensando nisto, compilamos para você, neste artigo, alguns cuidados que devem ser observados relacionados às cláusulas mais comuns. Confira.

 

1. O objeto de seu contrato

A cláusula que trata do objeto traz a descrição do propósito do negócio firmado. É importante descrever nesta cláusula o que, de fato, as partes estão contratando, da forma mais detalhada possível. Assim, evita-se gerar obrigações que, inicialmente, não eram de intenção das partes em se obrigar.

Se o escopo for muito extenso, recomenda-se a elaboração de um documento anexo ao contrato com maiores detalhes do objeto. O anexo poderá ser parte indissociável do documento se as partes concordarem e rubricarem as folhas do referido anexo.

A elaboração de um anexo também facilita no caso de as partes tiverem interesse em rever o objeto. Neste caso, as demais cláusulas do contrato “principal” permanecem inalteradas, sendo revisado apenas o anexo.

É muito importante que as partes esclareçam com detalhes e clareza a operação que desejam realizar para que o responsável pela elaboração do contrato entenda o negócio e escolha a melhor solução jurídica aplicável.

Importante mencionar que, independentemente do nome que se coloque no contrato ou a descrição de seu objeto, se a forma adotada é tipicamente descrita pela Lei, como é o caso de prestação de serviços, por exemplo, esta deve ser observada, verificando-se as consequências tributárias do negócio.

 

2. A confidencialidade de seu negócio

A cláusula de confidencialidade deve ser elaborada prevendo a proibição de divulgação de informações por um determinado período de tempo (normalmente adota-se a confidencialidade pelo prazo que durar o contrato, além de 5 anos, contados da data de eventual rescisão), com eventuais multas em caso de descumprimento por alguma das partes.

A atenção nesta cláusula diz respeito ao seu descumprimento: mais importante que simplesmente ter uma cláusula de confidencialidade, é preciso criar mecanismos para que o descumprimento de tal disposição acarrete punição à parte infratora.

É muito comum encontrar cláusulas padrões que estipulam que a violação da confidencialidade sujeita o infrator ao pagamento por perdas e danos apurados. Ocorre que, há casos em que não é possível medir e provar o prejuízo causado pelo descumprimento da cláusula em comento, de modo que a parte prejudicada fica em uma situação ainda mais desprivilegiada.

Para evitar isto e facilitar a execução da cláusula de descumprimento, recomenda-se em determinados casos que seja estipulada multa certa e determinada, a chamada “cláusula penal”. Ocorre que, se for estipulada uma multa alta, isto pode dar margem à parte desfavorecida para alegar desproporcionalidade no valor, com base nos artigos 412 e 413 do Código Civil[i]. Portanto, a depender do caso, o ideal é que seja elaborado um contrato de confidencialidade (non-disclosure agreement ou NDA em inglês), em vez de uma cláusula, de modo que as partes convencionem livremente sobre a imposição de multa no caso de descumprimento da confidencialidade.

 

3. Limites à não concorrência

A cláusula de não concorrência determina a proibição ao empregado ou contratado de prestar serviços ou de exercer atividades que sejam consideradas concorrentes às do empregador ou contratante.

A atenção deve ser voltada quanto à validade dessa cláusula após o término do contrato, já que é muito comum encontrar cláusulas padrões que estipulam prazo indeterminado para cumprimento desta cláusula.

Há quem defenda que o prazo indeterminado seria válido, por não contrariar o ordenamento jurídico e por trata-se de liberdade das partes. Entretanto, na prática, é possível encontrar decisões judiciais contrárias a este entendimento, fundamentadas no fato de não poder existir relações perpétuas. Ademais, especificamente para a cláusula de não concorrência, entende-se que não poderia haver qualquer proibição para o contratado ou empregado exercer determinada atividade empresarial, uma vez que isso afetaria seu direito à liberdade de trabalho.

Assim, para evitar questionamentos quanto à validade da cláusula em comento após o término do contrato, é necessário estipular previamente alguns requisitos mínimos, quais sejam: (i) prazo razoável (geralmente de dois anos após o término do contrato, por analogia ao artigo 445 da CLT); (ii) limitação geográfica; (iii)  descrição das atividades consideradas concorrentes e que estejam vinculadas às atividades exercidas pelo colaborador; e (iv) fixação de remuneração específica para o período de não concorrência, dependendo da natureza do contrato.

 

4. Atenção à propriedade intelectual negociada

A cláusula de propriedade intelectual descreve quem será o detentor ou responsável pelos direitos sobre a propriedade intelectual desenvolvidos ou utilizados durante a execução do contrato, além de determinar o responsável pelo pagamento de direitos autorais, royalties, despesas ou indenizações, dentre outras situações.

Importante esclarecer que, no que diz respeito ao desenvolvimento de software, salvo estipulação em contrário, pertencerão exclusivamente ao empregador, contratante de serviços ou órgão público, os direitos relativos ao programa de computador desenvolvido e elaborado durante a vigência de contrato, nos termos da Lei 9.609/1998.

No que diz respeito aos direitos autorais, estes poderão ser total ou parcialmente transferidos a terceiros por meio de contrato de licenciamento, concessão, cessão ou por outros meios admitidos em Direito, desde que observadas as regras previstas no ordenamento jurídico, mormente na Lei 9.610/98.

 

5. “Cláusula da meia noite”

Normalmente, na elaboração de contratos, a escolha de lei aplicável e foro para dirigir controvérsia são questões discutidas por último. Justamente por esta razão a cláusula de resolução de conflitos é conhecida como midnight clause – “cláusula da meia noite”, tendo em vista que sua abordagem é feita por último, após as partes terem decido todos os deveres e obrigações estipulados e estarem comemorando o negócio.

Ironicamente, a cláusula que menos é discutida possui grande importância, já que permite discutir todos os demais termos do contrato em casos de conflito. Portanto, apesar da situação pouco confortável de se “discutir o divórcio na ocasião do casamento”, é imprescindível que em qualquer elaboração contratual haja uma perspectiva sobre potenciais litígios e que a cláusula em questão seja elaborada com os devidos cuidados, principalmente em contratos internacionais, que envolve jurisdições distintas.

Ainda, no que diz respeito à forma de solução de conflitos, se via judicial ou de outra via alternativa (arbitragem ou conciliação, por exemplo), é importante levar em consideração o objeto do contrato e o valor aproximado que cada tipo de solução pode ter. A escolha de arbitragem, por exemplo, é delicada, já que sua disposição afasta a jurisdição e os valores para sua instituição são bens altos, de modo que sua aplicabilidade deve ser analisada caso a caso.

 

Cuidados na adoção de modelos prontos

Conforme verificado em cada item que abordamos, é importante que o advogado responsável pela elaboração do documento conheça profundamente o intuito das partes e dos negócios firmados, e que tenha um olhar crítico no que diz respeito aos possíveis conflitos que surjam em decorrência de qualquer cláusula.

Ainda, importante que as partes tenham consciência a respeito dos impactos tributários, trabalhistas e econômicos que a relação contratual acarretará. Portanto, atenção à simplificação oferecida pelos modelos prontos de cláusulas: a praticidade oferecida por este método pode trazer consequências indesejadas.
